The following proposed Amendments to the Bylaws of the Jefferson Historical Society and Museum, Inc., a Texas Non-Profit Corporation, dated 14 January 2014, were examined and considered by the Museum Board of Directors on January 14, 2025, which Board recommends adoption of each of the following bylaw changes:
Article I, Section 1.7, Life Member. Change to Life Memberships shall not be granted, provided, however, that those existing Life Memberships will be honored as before. Article IV, Section 4.1, Annual Meeting. Change first sentence to read "The Annual Meeting of the Members shall be held on the third Friday in the month of January, at the hour of 5:00PM." Article V, Section 5.1, General Powers. Add last (fifth) sentence, "A director may be granted a leave of absence of up to six months for good cause upon approval of the board without penalty of expulsion of the Member from the Board of Directors. After that time, the Member may rejoin the board or resign." Article V, Section 5.4, Number, Tenure and Duties. Change the first sentence to read "The Board of Directors shall consist of twelve (12) Directors and one non-voting Legal Counsel." Article V, Section 5.4(f), Executive Committee of the Board of Directors. Change first sentence to read "...shall be comprised of five (5) then board members, and includes the President, the Vice-President, the Secretary, the Treasurer, and Past President." Article V, Section 5.5, Compensation of Officers. Change first sentence to read, "Officers and Legal Counsel shall not receive any stated salaries for their services as Officers of the Corporation." Article V, Section 5.14. Change first sentence to read as in section 5.5. The following proposed Amendments to the Bylaws of the Jefferson Historical Society and Museum, Inc., a Texas Non-Profit Corporation, dated 14 January 2014, were examined and considered by the Museum Board of Directors on March 21, 2025, which Board recommends adoption of each of the following bylaw changes: Article V, Section 5.19, Director/Officer Disqualification [Criminal Conduct]. Under A., under the third paragraph, in sub-paragraphs (1) and (2), delete the words "Class B Misdemeanor or greater offence" and insert the word "Felony." Under C., delete the definition of "Class B Misdemeanor" in its entirety. Article XVI, Amendments to By-Laws. Change the Article XVI to read as follows: "These By-Laws may be altered, amended, or repealed, if such alteration, amendment, or repeal is was made and approved by the Board of Directors or by a majority vote of the members present Membership at any regular or special meeting of the Membership, and if at least (30) days prior written notice hasd been given to the Membership in the manner and form as elsewhere provided in these By-Laws or by posting on the Corporation's website, stating an intention to consider alteration, amendment or repeal of some part or portion of the By-Laws and specifying what section(s) or passage(s) is were to be considered." Change the first sentence to read "The Board of Directors shall consist of fourteen (14) Directors and one non-voting Legal Counsel.
